Terms of Service

Please read these terms carefully before using the Autessa platform.

Welcome to Autessa. These Terms of Service ("Terms") govern your access to and use of the Services provided by Autessa Inc. ("Autessa," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms.

Definitions

  • "Account" means your registered account to access the Services.
  • "Customer," "you," or "your" means the individual or entity using the Services.
  • "Customer Data" means any data or content you upload, input, or create via the Services.
  • "End User" means any individual or entity who uses or receives any Application or content that you, at least in part, build, display, execute, or implement via the Services.
  • "End User Data" means any data or content that an End User uploads, inputs, or creates via the Services.
  • "Services" means the Autessa platform-as-a-service, including all features, tools, and related support.

Your Account

You must be at least 18 years old to use the Services, and may be required to create an Account. If you create an Account on behalf of another person or entity, you must have authority to accept these Terms on their behalf.

You agree to provide accurate, current, and complete Account information during registration and to keep your Account information updated.

You are responsible for maintaining the confidentiality of your Account access credentials and for all activities that occur under your Account.

You may not share your Account with anyone else. If you suspect unauthorized access to your Account, you must notify us immediately at support@autessa.com.

Use of the Services

You may access and use our Services subject to your compliance with these Terms. You can only use the Services for lawful purposes and must comply with all applicable laws, our Privacy Policy, and any other policies, procedures, or guidelines that we provide to you.

You cannot use our Services for any illegal, harmful, or abusive activity. You agree to use the Services only as permitted by the Acceptable Use of the Services (see below) and as specified elsewhere in these Terms.

You are solely responsible for:

  • All Customer Data and End User Data uploaded, input, created, or sent via the Services.
  • The accuracy, reliability, suitability, and legality of your Applications, including any AI agent workflows.
  • The security of your own Account.
  • Backing up your own Customer Data, Applications, and End User Data (if applicable) to prevent data loss.
  • Any and all actions taken using your Account, regardless of whether authorized by you.

You agree that if we determine (in our sole discretion) you have violated any part of these Terms, we may suspend or terminate your Account and any access to the Services and also take any appropriate legal action, with or without notice to you.

Acceptable Use of the Services

You agree that your use of the Services does not allow you to do, assist, or attempt any of the below actions. You also agree that you will not allow an End User to do, assist, or attempt any of the below actions:

  • • Violate any applicable law or third-party rights, including privacy, communication.
  • • Violate our Privacy Policy.
  • • Use any AI-generated outputs in a way that violates applicable laws or infringes third-party rights.
  • • Misrepresent or mislead anyone to believe that data or content created via AI is from a human.
  • • Accept or receive payments or other compensation in any way that violates applicable law.
  • • Transmit any data or content that is unlawful, harmful, threatening, abusive, defamatory, or obscene.
  • • Mislead or misrepresent to anyone, including End Users, what is required by any part of these Terms.
  • • Distribute malware, viruses, or other malicious software.
  • • Reverse engineer, decompile, or discover source code or underlying components of our Services (except to the extent this restriction is prohibited by applicable law).
  • • Gain unauthorized access to any systems, accounts, or data.
  • • Extract any data from the Services to which you do not have a right to use.
  • • Interfere with or disrupt the integrity or performance of the Services.
  • • Use the Services to build a competitive product or service.
  • • Copy, modify, sell access to, or distribute access to the Services (except as may be explicitly permitted).
  • • Use the Services in a way that violates applicable privacy or data protection laws.

End Users

You agree that you are solely responsible for ensuring that any End Users of your Applications do not violate any part of these Terms, including the Acceptable Use of the Services and any applicable law.

If you know or suspect that an End User is violating these Terms, you must promptly inform us at support@autessa.com.

You will be deemed to have taken any action that you permit, assist or facilitate any person or entity to take related to these Terms, your Customer Data or Applications, or use of the Services. You are responsible for End Users' use of the Services, and for their compliance with your obligations under these Terms.

You agree that you are solely responsible for obtaining any legal consent from End Users of your Applications or data as may be required by applicable law, including privacy law or communication law. You agree that Autessa has no liability for any actions taken by End Users of your Applications or data and agree to indemnify Autessa from such liability, as detailed below.

Data Rights

You retain ownership of your Customer Data, but you grant us a license to use, process, display, transmit, and store your Customer Data to provide, secure, and improve the Services.

You own the output of any of your Applications, but you grant us a license to use, process, display, transmit, and store any such output to provide, secure, and improve the Services.

End Users retain rights to their own End User Data, except to any extent they have legally granted rights to that End User Data to you or to us.

If you provide feedback or suggestions to us, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose.

We may collect and use aggregate, de-identified data derived from your use of the Services for analytics, product improvement, and other business purposes.

Operation of the Services

We reserve the right to monitor any use of the Services by you or by End Users. This includes the right to store and review output of any of your Applications or any communications sent via the Services for determining compliance with these Terms and applicable law.

The Services are provided "as-is." We want you to have the best possible experience with Autessa, but we make no guarantees about the Services, their availability, or the security or privacy of your Applications and data unless explicitly noted.

We expressly take no responsibility for backing up or restoring any lost, stolen, or damaged Customer Data, End User Data, Applications, or any other data or content associated with your Account or use of the Services.

Payments & Trial Periods

Use of the Services may require a payment from you. If a required payment is thirty (30) days or more late, we may suspend or terminate your Account solely at our discretion.

All amounts payable by you under this Agreement will be paid to us without setoff or counterclaim. We may increase or add new fees for any existing Services by giving you at least 30 days' prior notice. We may elect to charge interest at the rate of 1.5% per month on all late payments.

As part of a Trial Period, we may offer you unpaid or discounted access to the Services. If you choose not to pay for continued access, we may remove your access and delete your Account and associated data.

No refund will be made of an amount paid to us by you unless we choose to do so in our discretion or is required by applicable law.

Intellectual Property (IP)

Except as expressly stated in these Terms, you are not granted any intellectual property rights by implication, estoppel, or other legal theory. All rights in and to our IP not expressly granted are reserved and retained by us.

Autessa and related logos are our trademarks. You may not use them, or any other of our intellectual property without our prior written consent.

Term and Termination

You may terminate your use of the Services at any time by giving us at least thirty (30) days' advance notice at support@autessa.com.

Disclaimers

THE SERVICES AND ASSOCIATED CONTENT ARE PROVIDED "AS IS." EXCEPT TO THE EXTENT PROHIBITED BY LAW, WE AND OUR AFFILIATES AND LICENSORS MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE REGARDING THE SERVICES, AND DISCLAIM ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR QUIET ENJOYMENT.

AUTESSA IS NOT RESPONSIBLE FOR THE ACCURACY, RELIABILITY, COMPLETENESS, OR LEGALITY OF ANY CONTENT OR OUTPUTS GENERATED BY AI FEATURES WITHIN THE SERVICES. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, VALIDATING, AND DETERMINING THE APPROPRIATENESS OF ANY AI-GENERATED OUTPUTS BEFORE USE.

Limitations of Liability

NEITHER AUTESSA NOR YOU WILL HAVE LIABILITY FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, LOSS OF PROFITS, REVENUES, CUSTOMERS, OPPORTUNITIES, OR GOODWILL, OR UNAVAILABILITY OF THE SERVICES.

THE AGGREGATE LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO AUTESSA FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE LIABILITY AROSE.

Indemnity

You will indemnify and hold harmless us, our affiliates, and our personnel, from and against any costs, losses, liabilities, and expenses (including attorneys' fees) from third party claims arising out of or relating to your use of the Services or any violation of these Terms.

Dispute Resolution

YOU AND AUTESSA AGREE TO THE FOLLOWING MANDATORY ARBITRATION AND CLASS ACTION WAIVER PROVISIONS:

Mandatory Arbitration

You and Autessa agree to resolve any claims arising out of or relating to these Terms or our Services through final and binding arbitration.

Informal Dispute Resolution

Before either of us files a claim, we both agree to try to resolve the Dispute informally. You agree to do so by sending us notice at support@autessa.com. If we are unable to resolve a Dispute within 60 days, either of us has the right to initiate arbitration.

Arbitration Forum & Procedures

Either party may commence arbitration with National Arbitration and Mediation ("NAM"). The arbitration will be conducted by a sole arbitrator who is either a retired judge or an attorney licensed in Washington state. Each party will bear their own costs in arbitration.

Class and Jury Trial Waivers

DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY. CLASS ARBITRATIONS, CLASS ACTIONS, AND REPRESENTATIVE ACTIONS ARE PROHIBITED. YOU AND AUTESSA KNOWINGLY AND IRREVOCABLY WAIVE ANY RIGHT TO TRIAL BY JURY.

Jurisdiction and Venue

Any dispute not resolved informally shall be brought exclusively in the state or federal courts located in King County, Washington.

Governing Law

THIS AGREEMENT WILL BE GOVERNED BY THE LAWS OF THE STATE OF WASHINGTON, WITHOUT GIVING EFFECT TO ANY CONFLICT OF LAWS PRINCIPLES.

General Provisions

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Autessa regarding your use of the Services.

Changes to These Terms. We reserve the right to modify these Terms at any time. Your continued use of the Services after changes constitutes acceptance.

Waiver. Our failure to enforce any right or provision shall not constitute a waiver.

Severability. If any provision is held invalid, it shall be limited or eliminated to the minimum extent necessary.

Assignment. You may not assign these Terms without our prior written consent. Autessa may freely assign.

Notices. All notices to Autessa must be sent to legal@autessa.com.

Force Majeure. Autessa is not liable for delays or failures caused by events outside our reasonable control.
